General Terms

By accessing or using Happy Ordering’s platform, websites, or mobile applications (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you and Combustion Innovation Group Inc. DBA Happy Ordering (“Happy Ordering,” “we,” “our,” or “us”).

 

Service Overview

Happy Ordering is an online ordering platform connecting customers with participating restaurants, food establishments, and delivery services. Happy Ordering does not prepare food, and it is not responsible for the quality, preparation, or safety of food or beverages ordered through the Service.

 

Modifications

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our platform, with the “Last Updated” date revised accordingly. Continued use constitutes acceptance of the revised Terms.

 

Terms for Food Establishments

Restaurants and food establishments (“Merchants”) subscribing to Happy Ordering agree to a monthly subscription fee, billed on the first of every month. Payments are non-refundable unless otherwise stated in writing. Merchants are solely responsible for menu accuracy, food preparation, safety, packaging, labeling, and compliance with applicable laws.

Taxes: Merchants are responsible for the collection, reporting, and payment of any and all applicable taxes arising from sales or use of the Service. Happy Ordering does not collect, remit, or pay taxes on behalf of Merchants.

Financial Risk: Merchants acknowledge and agree that Happy Ordering is not responsible for any business losses, revenue fluctuations, or financial damages incurred through the use of the Service.

Chargebacks: Merchants are fully responsible for any and all chargebacks, disputes, or reversals initiated by customers or financial institutions related to transactions processed through the Service.

Fees & Surcharges: If a Merchant uses Happy Ordering as its merchant service provider, credit card processing fees may be charged in addition to the monthly subscription fee. Additional delivery surcharges may apply if orders are fulfilled through third-party delivery services. Such fees and surcharges will be disclosed in advance where applicable and are non-refundable.

License: Happy Ordering grants Merchants a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for managing orders and menu offerings. Merchants may not reproduce, distribute, modify, or create derivative works from the Service without prior written permission.

No Partnership: Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between Happy Ordering and any Merchant. Each party remains an independent contractor responsible for its own business operations and obligations.

 

Terms for End Users (Customers)

Customers may be required to create an account. Orders are placed with Merchants, and Happy Ordering does not guarantee acceptance or fulfillment. Payments are processed through third-party payment processors. Refunds and cancellations are at Merchant discretion. Users must not misuse the Service or violate laws.

 

Privacy Policy & Data Handling

We collect personal, order, and technical information to provide and improve our Services. Data may be shared with Merchants, payment processors, service providers, and legal authorities. We do not sell personal information.

Data Handling: We safeguard data using commercially reasonable administrative, technical, and physical protections. Data is retained only as long as necessary. Users may request access, correction, or deletion by contacting [email protected].

 

Disclaimers, Limitation of Liability, and Indemnification

Happy Ordering provides the Service “as is” without warranties of any kind. We are not responsible for food quality, fulfillment, delivery, or business outcomes.

Third-Party Delivery Disclaimer: If a Merchant or Customer elects to use a third-party delivery service, Happy Ordering shall not be responsible for delays, damages, losses, service failures, or disputes arising from that third-party provider.

Limitation of Liability: Our liability is limited to the maximum extent permitted by law. Merchants and Customers agree to indemnify, defend, and hold harmless Happy Ordering from claims, damages, liabilities, and expenses arising from food preparation, taxes, chargebacks, misuse of the Service, fraudulent activity, third-party delivery issues, or violations of law. This obligation survives termination of accounts.

 

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles.
